Everything you need to know about iClosed Terms & Conditions

1. Billing Cycle

iClosed operates on a subscription-based billing cycle, either monthly or annually, depending on your chosen plan.
Billing is based on a per-seat pricing model, meaning you will be billed according to the number of active seats (users) on your account during each billing cycle.
The subscription starts upon activation, and subsequent charges will be processed at the start of each billing cycle.


2. Payment Method

Payments are processed through the payment method you provide during subscription.
You are responsible for maintaining accurate and up-to-date payment information.
If a payment fails, iClosed reserves the right to suspend or terminate access to the service until payment is made.


3. Subscription Fees and Seat-Based Billing

  • Subscription fees are charged based on the number of seats you have subscribed to. You will be billed for all active seats associated with your account at the beginning of each billing cycle. If additional seats are added mid-cycle, the charges will be prorated for the remaining time, and the full seat price will be reflected in the next billing cycle.

  • Unused seats will automatically be identified and removed before the next billing cycle is charged, ensuring that you are only billed for the seats actively in use at the time of renewal.

  • iClosed reserves the right to modify per-seat pricing or the overall subscription pricing. Notice of any pricing changes will be provided before the next billing cycle, and any price changes will apply starting with the upcoming billing period.


4. Adding or Removing Seats

  • Adding Seats:
    You can add seats at any time during the billing cycle.
    Additional seats will be prorated for the remaining period of the cycle, and the full charge will be applied in the subsequent cycle.

  • Removing Seats:
    When seats are removed from your account, the adjustment will take effect in the upcoming billing cycle. There will be no refunds or credits for unused seats in the current cycle.
    Any unused seats at the end of the billing cycle will be automatically removed before the next charge.


5. Downgrades and Upgrades

  • Downgrading:
    Downgrading plan will be scheduled and will take effect at the start of the next billing cycle.
    You will not receive any refunds or credits for the unused portion of the current cycle, but future cycles will reflect the downgraded rate.

  • Upgrading:
    If you upgrade to a higher-tier plan or add more seats, the cost will be prorated for the current billing cycle, and the new pricing will be fully applied in the next cycle.


6. Taxes

All applicable taxes and fees imposed by local tax authorities will be added to your subscription cost, based on your location and applicable tax laws.
You are responsible for ensuring that all taxes are paid on time.


7. Account Termination

You may cancel your iClosed subscription at any time. Upon cancellation, your account will remain active until the end of the current billing cycle, after which it will be terminated. There will be no refunds for the unused portion of the billing cycle.

iClosed reserves the right to suspend or terminate accounts due to failure to pay, misuse, or violations of our terms and conditions.


8. Late Payments

Late payments may result in suspended access to the service until payment is received. Continuous payment failures may lead to permanent account termination.


9. Data Privacy and GDPR Compliance

iClosed takes data privacy and compliance with the General Data Protection Regulation (GDPR) and other applicable data protection laws seriously.
Personal data collected in connection with billing and account management will be processed in accordance with our Privacy Policy.


iClosed only collects necessary personal information and uses it to provide services, fulfill billing requirements, and improve your experience.
You have the right to access, rectify, or request the deletion of your personal data at any time. Any such requests can be directed to our Data Protection Officer at support@iclosed.io


10. Data Security

iClosed employs industry-standard security measures to protect your data from unauthorized access, disclosure, or alteration.
However, it is your responsibility to maintain the security of your account credentials and notify us immediately if you believe your account has been compromised. You can read more about your data security in our Privacy Policy.


11. Changes to Services

iClosed may modify, suspend, or discontinue services at any time without liability.
Notice will be provided for significant changes, and ongoing subscriptions will be informed of any modifications that may affect their services.
